Terms and Conditions

These Terms and Conditions ("Terms") govern your use of celestelab.us (the "Website") and every purchase, quote or commercial relationship with Celeste Group LLC ("Celeste Group", "we", "us"), a limited liability company organized in the United States. By using the Website or placing an order you agree to these Terms. If you do not agree, do not use the Website or our services.

1. Who we are

Celeste Group operates in retail and wholesale trade, selling consumer goods to individual customers ("Retail Customers") and to businesses that resell them ("Wholesale Customers") through online and offline channels.

2. Eligibility

You must be at least 18 years old, or the age of majority where you live, to place an order. If you order on behalf of a business, you confirm you are authorized to bind that business to these Terms.

3. Use of the Website

You agree to use the Website only for lawful purposes. You may not copy, scrape or resell its content, interfere with its security or operation, submit false information or use it to send spam or harmful code.

4. Products, prices and availability

  • Product descriptions, images and specifications are provided in good faith; minor differences in color, packaging or presentation may occur.
  • Prices are in US dollars unless stated otherwise and do not include shipping, duties or applicable sales taxes, which are shown in your quote or invoice.
  • All products are subject to availability. If an item becomes unavailable after you order, we will offer a substitute or a full refund for that item.
  • We may correct pricing or typographical errors at any time. If an order was placed at an incorrect price, we will contact you to confirm the correct price or cancel the order with a full refund.

5. Quotes and orders

Quotes are valid for the period stated on them (15 days if none is stated). An order is binding only when we confirm it in writing (email, WhatsApp or invoice). We may decline or cancel an order for suspected fraud, errors, unavailability or failure to meet our credit or verification requirements; in that case any payment received for the cancelled items is refunded.

6. Wholesale terms

  • Wholesale pricing requires an approved wholesale account and may require a valid resale or sales-tax exemption certificate.
  • Minimum order quantities, lead times, payment terms and delivery terms (Incoterms, when applicable) are those stated in each quote or invoice.
  • Specific terms written in a signed quote, purchase order acknowledgment or supply agreement prevail over these Terms where they differ.
  • Wholesale Customers are responsible for complying with the laws that apply to the resale of the products in their market.

7. Payment

Payment is due as stated in the quote or invoice. Payments are processed by third-party payment providers. Overdue balances from Wholesale Customers may result in suspension of orders and, where permitted by law, late charges stated on the invoice. Please contact us before initiating a chargeback so we can resolve the issue.

8. Shipping and delivery

Delivery dates are estimates and may be affected by carriers, customs or events outside our control. Title and risk of loss pass to the buyer when the goods are delivered to the carrier, unless the quote or invoice states otherwise. Please inspect deliveries on arrival and note any visible damage with the carrier.

9. Returns, refunds and cancellations

Returns, refunds and cancellations are governed by our Refund and Return Policy, which is part of these Terms.

10. Warranties

Products may be covered by the manufacturer's warranty, where one is offered. Except for those warranties and any rights you have under applicable consumer protection law that cannot be waived, the Website and products are provided "as is" and "as available", and Celeste Group disclaims all other warranties, express or implied, including merchantability and fitness for a particular purpose.

11. Limitation of liability

To the fullest extent permitted by law, Celeste Group is not liable for indirect, incidental, special, consequential or punitive damages, or for lost profits or revenue. Our total liability for any claim related to an order or the Website is limited to the amount you paid for the products that gave rise to the claim. Nothing in these Terms limits liability that cannot be limited by law.

12. Indemnification

You agree to indemnify and hold harmless Celeste Group and its members, employees and agents from claims arising from your breach of these Terms, your misuse of the Website or, for Wholesale Customers, your resale of the products.

13. Intellectual property

The Celeste Group name, logo, website design and content belong to Celeste Group LLC or its licensors. Product brands shown belong to their respective owners. Nothing in these Terms grants you any right to use them without written permission.

14. Force majeure

We are not responsible for delays or failures caused by events beyond our reasonable control, such as natural disasters, strikes, carrier disruptions, epidemics, government actions or supply shortages.

15. Governing law and disputes

These Terms are governed by the laws of the state in which Celeste Group LLC is organized and applicable federal law of the United States, without regard to conflict-of-law rules. Before filing any claim, you agree to contact us and try to resolve the dispute informally for at least 30 days. Any claim not resolved informally will be brought in the competent courts of the state in which Celeste Group LLC is organized, unless applicable consumer law gives you the right to bring it where you live.

16. Changes

We may update these Terms at any time. The version in effect when you place an order applies to that order.

17. General

If any provision of these Terms is found unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. These Terms, together with our Privacy Policy, Refund and Return Policy and any written quote or agreement, are the entire agreement between you and Celeste Group regarding their subject matter.
